Terms and Conditions

1. Introduction

The Beldex Grants Program (the "Grants Program") is a program that provides grants to developers, startups, and teams for the purpose of building privacy-focused applications, tools, and infrastructure on the Beldex network and expanding the Beldex ecosystem.

Beldex has allocated an aggregate program budget of up to USD $1,000,000 for the Grants Program. The allocation of this budget, including the number, size, timing, denomination, and structure of individual grants, is determined by Beldex in accordance with these Terms and any applicable project-specific grant agreement.

These Grants Program Terms and Conditions (these "Terms"), together with any applicable Beldex Terms of Use, Privacy Policy, project-specific grant agreement, and any other documents, additional terms, schedules, or policies that expressly incorporate these Terms (collectively, the "Agreement"), govern the submission to and participation in the Grants Program and constitute a binding agreement between Beldex (together with its affiliates, "Beldex," "we," "us," or "our") and you, whether personally or on behalf of an entity ("you" or "your").

Where a project-specific grant agreement is entered into between you and Beldex, the terms of that grant agreement will prevail in the event of a conflict with these Terms with respect to that specific grant. Subject to the foregoing, in the event of a conflict between these Terms and any general Beldex Terms of Use, these Terms will prevail with respect to the Grants Program.

Beldex may make changes to these Terms from time to time. If Beldex makes changes, it will provide notice of such changes, such as by updating the "Last Updated" date above or through other reasonable means where appropriate. Unless the notice states otherwise, the amended Terms will be effective upon publication.

BY SUBMITTING INFORMATION FOR OR PARTICIPATING IN THE GRANTS PROGRAM, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, PLEASE DO NOT SUBMIT INFORMATION FOR OR PARTICIPATE IN THE GRANTS PROGRAM.

2. Eligibility

In order to participate in the Grants Program, when submitting information for and throughout your participation in the Grants Program:

• If you are participating as an individual, you must be of legal age in the jurisdiction in which you reside and must have the legal capacity to enter into these Terms and be bound by them;
• If you are participating as an entity, you must have the legal authority to accept these Terms on that entity's behalf, in which case "you" (except as used in this paragraph) will mean that entity;
• Your project must be built on, or meaningfully utilize, the Beldex network and its infrastructure;
• Privacy must be a fundamental part of your project's architecture, functionality, or user experience;
• You must not reside, be incorporated, organized, domiciled, or primarily operate in a jurisdiction where your participation in the Grants Program, or receipt or use of grant funding, would be prohibited by Applicable Laws or would require a license or authorization that you do not possess; and
• You must not be (i) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties; (ii) in contravention of any laws or regulations pertaining to anti-money laundering or terrorist financing; (iii) included on the List of Specially Designated Nationals and Blocked Persons maintained by the US Treasury Department's Office of Foreign Assets Control (OFAC) or on any list pursuant to European Union (EU) and/or United Kingdom (UK) regulations; or (iv) operationally based or domiciled in a country or territory subject to sanctions imposed by the United Nations, OFAC, the EU, and/or the UK.

Beyond these requirements, the Grants Program is open to a broad range of ideas and use cases, including but not limited to privacy-focused decentralized applications, private payment solutions and payment infrastructure, developer tools and SDKs, decentralized privacy-preserving swap platforms, privacy tokens and token-based applications, and other privacy-first applications and services. Projects that do not fit neatly into a listed category are still encouraged to apply.

We reserve the right to limit or refuse your eligibility to participate in the Grants Program for any reason in our sole discretion, including where your participation is prohibited by any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, or other directive, requirement, or guideline that applies to or is otherwise intended to govern or regulate any person (collectively, "Applicable Laws"). If we become aware of any violation of these Terms or any applicable project-specific grant agreement, we may prohibit you from participating in the Grants Program or terminate your participation, subject to the terms of any applicable grant agreement.

By participating in the Grants Program, you represent and warrant that you meet the requirements contained in these Terms. If you do not meet these requirements, you cannot participate in the Grants Program.

3. Nature of the Program

The Grants Program is ongoing. There is no fixed grant size, no predetermined number of recipients, and no competitive judging process. Each proposal is reviewed individually, and funding is determined based on the project's scope, requirements, and potential contribution to the Beldex ecosystem.

Submission of a proposal does not guarantee that a grant will be offered. The existence of an overall Grants Program budget does not entitle any applicant to funding or require Beldex to award any particular amount to an applicant. The amount, structure, denomination, timing, milestones, and other terms of any individual grant are determined by Beldex on a case-by-case basis and, where applicable, will be set out in a separate grant proposal or agreement.

We reserve the right to modify, suspend, or discontinue the Grants Program, or your access to it, for any reason at any time, subject to any obligations already agreed under an executed project-specific grant agreement and Applicable Laws.

4. Application and Review Process

Participation in the Grants Program generally follows these stages, though Beldex may modify this process at its discretion:

1. Apply. You submit information about your project, including your project idea, what you plan to build, how it will use Beldex, and other information requested as part of the application process.
2. Review. The Beldex team reviews the project's eligibility, technical requirements, potential, and relevance to the ecosystem.
3. Grant Proposal. For projects selected to move forward, the grant amount, structure, milestones, requirements, and other applicable terms may be determined based on the scope and needs of the project.
4. Build. Once the applicable grant terms are finalized, teams may begin building with access to applicable Beldex developer resources and ecosystem support.

Beldex may request additional information, clarification, or documentation at any stage of the review process, including information relating to anticipated funding requirements, development milestones, team capabilities, or technical implementation, and may decline to proceed with any application at its sole discretion and without obligation to provide a reason.

An applicant will not become a grantee merely by submitting an application or being selected for further review. A grant is awarded only once any required project-specific grant terms have been agreed between Beldex and the applicant.

5. Submission Content and Intellectual Property

Any content you submit to us must be true and accurate. You acknowledge and agree that you may receive grant amounts based on this information, and that upon any material change to this information, you will inform us as soon as reasonably possible.

You retain ownership of your pre-existing intellectual property and, except as otherwise expressly agreed in a project-specific grant agreement, intellectual property contained in materials submitted as part of your application. Nothing in these Terms transfers ownership of your intellectual property to Beldex.

You grant Beldex a non-exclusive, worldwide, royalty-free license to use, reproduce, review, internally share, and evaluate content you provide in connection with your application to the extent reasonably necessary to evaluate, administer, and operate the Grants Program.

If you are awarded a grant, Beldex may also use non-confidential information about your project, including your project name, publicly available description, publicly available materials, and approved project assets, for purposes of administering and promoting the Grants Program and the Beldex ecosystem. Any additional intellectual property rights, open-source requirements, licensing arrangements, deliverables, or ownership provisions applicable to work funded by a grant may be specified separately in the applicable project-specific grant agreement.

You represent and warrant that you have the necessary rights and permissions to provide the content submitted with your application and to grant the rights described in these Terms.

You acknowledge that Beldex may, now or in the future, be developing information internally, or receiving information from other parties, that is similar to the content you create or provide to us in connection with your submission to or participation in the Grants Program. Nothing in these Terms will prohibit Beldex from independently developing, marketing, or supporting concepts, systems, technologies, or techniques, including the Beldex protocol, provided that Beldex does not thereby acquire ownership of your intellectual property except as expressly agreed in writing.

Unless Beldex has separately agreed in writing to confidentiality obligations, you should not submit information that you consider highly confidential, proprietary, or commercially sensitive beyond what is reasonably necessary for Beldex to evaluate your application.

6. Grant Funding and Use of Funds

• Grant amounts, currency or token denomination, and any vesting or milestone-based disbursement schedule will be set out in a separate grant proposal or agreement specific to your project.
• Grantees may be required to use grant funds solely for the development, launch, and maintenance of the proposed project or for other purposes expressly agreed with Beldex.
• Beldex may request periodic updates, progress reports, or evidence of milestone completion as a condition of continued or future disbursement.
• Beldex reserves the right to pause, reduce, or terminate funding if a grantee materially fails to meet agreed milestones, misuses funds, or breaches this Agreement, in each case subject to the applicable project-specific grant agreement.
• Unless otherwise specified in a project-specific grant agreement, each grantee is responsible for determining and satisfying any taxes, duties, reporting requirements, or other governmental obligations arising from its receipt, holding, conversion, or use of grant funding.
• Grant funding may be subject to additional verification, compliance, wallet, payment, or administrative requirements before disbursement.

7. Beldex Infrastructure and Developer Resources

Grantees may build using available Beldex developer infrastructure and privacy-focused tools, including tools made available during the course of the Grants Program. These may include:

• Privacy Tokens — deploying privacy-preserving tokens on the Beldex network and building applications around them.
• Beldex Extension Wallet — connecting applications to the Beldex wallet and enabling users to interact with applications built on the network.
• Beldex Web3.js SDK — integrating applications with the Beldex Extension Wallet and building new experiences on top of the network.

The availability, functionality, documentation, compatibility, and release status of developer infrastructure may change over time, and certain tools or functionality may initially be made available in testnet, beta, preview, or other pre-release environments.

Developer documentation and technical resources will be made available as applicable alongside the relevant infrastructure. Selected projects may also receive support beyond the grant itself, depending on their technical and development needs, which may include technical guidance, integration support for relevant Beldex infrastructure, and access to ecosystem resources and ongoing support.

Any such support is provided at Beldex's discretion and does not constitute a guarantee of outcome for your project.

8. Privacy

By participating in the Grants Program, you acknowledge that personal information you provide in connection with the Grants Program will be collected, used, stored, and otherwise processed in accordance with the Beldex Privacy Policy and Applicable Laws.

Beldex may use Personal Information you provide for purposes reasonably necessary to:

• (a) receive, review, evaluate, and administer your application;
• (b) communicate with you regarding your application or participation in the Grants Program;
• (c) administer grant funding, compliance requirements, and project support where applicable; and
• (d) operate, protect, and improve the Grants Program.

Beldex may disclose Personal Information to service providers, professional advisers, and other parties where reasonably necessary to administer the Grants Program or where required by Applicable Laws, subject to applicable privacy requirements.

If you are selected to receive a grant, Beldex may request your consent or otherwise agree with you on the use of your name, team information, image, project information, or other Personal Information for publicity, promotional, marketing, or announcement purposes relating to the Grants Program. Submission of an application alone does not constitute consent to use an applicant's Personal Information for general marketing or advertising purposes except where otherwise permitted by Applicable Laws and the Beldex Privacy Policy.

9. Publicity

If you receive a grant, you grant Beldex a non-exclusive, worldwide, royalty-free right to use your project name, trademarks, logos, and other agreed project designations solely to identify you as a participant or grantee and to communicate or promote your participation in the Grants Program and the Beldex ecosystem.

Any use of an individual's name, image, likeness, biography, or other Personal Information for publicity purposes will be subject to Section 8 and Applicable Laws.

10. Disclaimer

WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCTS OR SERVICES PROVIDED BY ANY OF OUR SERVICE PROVIDERS, COLLABORATORS, OR OTHER THIRD PARTIES IN CONNECTION WITH THE GRANTS PROGRAM.

WE WILL NOT BE A PARTY TO OR IN ANY WAY RESPONSIBLE FOR MONITORING ANY ACTIVITIES BETWEEN YOU AND ANY OF OUR SERVICE PROVIDERS, COLLABORATORS, OR OTHER THIRD PARTIES.

YOU ARE SOLELY RESPONSIBLE FOR YOUR ACTIVITIES WITH OTHER PERSONS OR ENTITIES WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR PARTICIPATION IN THE GRANTS PROGRAM.

FURTHER, WE MAKE NO GUARANTEES OR WARRANTIES THAT ANY PARTICULAR BUSINESS, TECHNICAL, FINANCIAL, COMMERCIAL, OR OTHER RESULT WILL BE OBTAINED FROM PARTICIPATION IN THE GRANTS PROGRAM.

Nothing in the Grants Program or any related communication constitutes legal, tax, financial, investment, or other professional advice.

11. Changes

Beldex reserves the right to change these Terms from time to time. Any changes will apply prospectively from their effective date unless otherwise required by Applicable Laws or expressly agreed in a project-specific grant agreement.

Your continued participation in the Grants Program after any such changes become effective will mean that you accept and agree to the updated Terms, to the extent permitted by Applicable Laws.

Changes to these general Terms will not override contrary terms contained in an existing executed project-specific grant agreement unless that agreement expressly permits such changes.

12. Miscellaneous

To the extent Beldex has applicable Terms of Use governing your use of Beldex websites, applications, or services, those Terms of Use will continue to apply to such use. Where expressly incorporated into this Agreement, provisions relating to indemnification, disclaimers, limitation of liability, governing law, dispute resolution, and other general legal terms will apply to participation in the Grants Program, except to the extent modified by these Terms or an applicable project-specific grant agreement.

For purposes of interpretation:

• (a) where applicable, the term "Services" as used in the applicable Terms of Use includes the Grants Program;
• (b) references to "using the Services" or similar terms may include submitting information for the Grants Program or participating in the Grants Program;
• (c) references to the "Site" may include any website or application operated by Beldex through which the Grants Program is administered; and
• (d) references to the applicable Terms of Use will be interpreted consistently with these Grants Program Terms, where these Terms expressly incorporate them.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by Applicable Laws.

Beldex's failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

This Agreement constitutes the entire agreement between you and us regarding the subject matter contained in this Agreement and supersedes all prior or contemporaneous agreements or understandings, subject to any project-specific grant agreement entered into between you and Beldex.
